Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", "your") and NG HOST VIP ("Company", "we", "us", "our"), governing your access to and use of all services provided through nghost.vip. By registering an account or using any of our services, you unconditionally agree to these Terms. If you do not agree, you must immediately cease using our services.

These Terms must be read alongside our Privacy Policy and Acceptable Use Policy, both of which are incorporated herein by reference.

1. Eligibility & Age Requirement

Our services are available exclusively to individuals who are 18 years of age or older and capable of forming a legally binding contract. By using our services, you represent and warrant that:

• You are at least 18 years old.
• You have the legal authority to enter into this agreement.
• All information you provide is accurate, complete, and current.
• You will maintain the accuracy of such information.

NG HOST VIP reserves the right to request proof of identity or age at any time. Failure to provide such proof may result in account suspension or termination.

2. Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Notify us immediately of any unauthorized use of your account.
• Ensure that you log out from your account at the end of each session.
• Not share your account credentials with any third party.

NG HOST VIP shall not be liable for any loss or damage arising from your failure to comply with this section.

3. Billing & Payment

Services are billed on a recurring basis (monthly, quarterly, semi-annually, or annually) according to the plan selected at sign-up. The billing cycle begins on the date of service activation.

Accepted Payment Methods:

• Visa / Mastercard / American Express / Discover Card
• Bank Transfer (Wire Transfer)
• InstaPay
• Digital Wallets
• Cryptocurrency (Bitcoin and other supported digital currencies)

All prices are displayed in the currency shown on the order page. NG HOST VIP is not responsible for any currency conversion fees charged by your bank or payment provider.

4. Price Changes

NG HOST VIP reserves the right to modify service pricing at any time, including in response to economic conditions, currency exchange rate fluctuations, or operational costs. Price changes may take effect:

• Immediately for new orders and sign-ups.
• From the next renewal invoice for existing services, where reasonably practicable.

We will make reasonable efforts to notify existing clients of significant price changes via email or an announcement in the client area. However, NG HOST VIP is not obligated to provide advance notice in cases of urgent economic necessity. Continued use of services after a price change constitutes acceptance of the new pricing.

5. Refund Policy

NG HOST VIP offers a 7-day money-back guarantee for eligible services from the initial sign-up date. The following conditions apply:

• Refund requests must be submitted through our support ticket system within 7 days of the service activation date.
• Each request is evaluated on a case-by-case basis. NG HOST VIP retains sole discretion to issue a full refund, partial refund, account credit, or deny the request.
• Only a client's first invoice per service is eligible for a refund, unless stated otherwise in a specific promotional offer.
• Domain name registrations, transfers, and SSL certificates are non-refundable under any circumstances.
• Dedicated servers are non-refundable.

6. Cryptocurrency Payment Policy

Payments made using cryptocurrency (including Bitcoin and any other digital currencies) are strictly non-refundable under all circumstances. Due to the irreversible nature of blockchain transactions, NG HOST VIP is unable to process refunds for cryptocurrency payments.

In exceptional cases, at the sole discretion of NG HOST VIP, an account credit may be issued in lieu of a monetary refund. No cash or transfer refunds will be made for cryptocurrency payments.

7. Chargeback & Payment Dispute Policy

If a client initiates a chargeback, payment reversal, or dispute through their bank, payment processor, digital wallet provider, or any financial institution — without first contacting NG HOST VIP through official support channels — the following actions will be taken immediately and without notice:

• The client's account will be suspended immediately.
• All active services under the account will be deactivated.
• The account may be permanently banned from using NG HOST VIP services.
• The disputed amount plus any applicable chargeback fees imposed on NG HOST VIP will become a debt owed by the client.

We strongly encourage clients to contact our support team first to resolve any billing disputes. NG HOST VIP is committed to resolving legitimate billing issues quickly and fairly.

8. Late Payments & Service Suspension

All services are billed on the date they were first activated. Upon non-payment, NG HOST VIP will issue up to three (3) successive overdue notices to the email address registered on the client's account. The following escalation policy applies:

• Notice 1: First overdue reminder sent. Client is expected to settle the outstanding balance promptly.
• Notice 2: Second overdue reminder sent. If the client did not respond to Notice 1, the service may be suspended at this stage without further warning.
• Notice 3: Final overdue notice sent. If the client did not respond to Notices 1 and 2, the service will be suspended and permanent termination may be carried out at any time at NG HOST VIP's sole discretion.

Termination timeline after Notice 3:

• If the client did not respond to Notice 1 or Notice 2: NG HOST VIP reserves the right to permanently terminate the service and delete all associated data at any time following the issuance of Notice 3.
• If the client responded to prior notices but failed to complete payment: NG HOST VIP may permanently terminate the service within a maximum of 3 days after Notice 3 is issued.

NG HOST VIP reserves the unconditional right to permanently terminate any service at any time after the third overdue notice has been issued, regardless of any prior communication. Suspended services may be reactivated by settling all outstanding invoices through the client area, subject to NG HOST VIP's approval. NG HOST VIP is not responsible for any data loss resulting from service suspension or termination due to non-payment.

9. Service Uptime & Availability

NG HOST VIP targets a network uptime of 99.9% per calendar month, excluding scheduled maintenance windows and events beyond our control. In the event that 99.9% uptime is not met, clients may be eligible to receive a service credit based on the duration and impact of the downtime.

Service credits will not be issued for downtime resulting from:

• DDoS (Distributed Denial of Service) attacks against the client's services.
• Scheduled or emergency maintenance announced in advance.
• Client-initiated actions or misconfigurations.
• Hardware replacement operations.
• IP null-routing due to network abuse.
• Force Majeure events (see Section 14).

To claim a credit, the client must open a billing support ticket within 7 days of the downtime incident.

10. Operating System Licensing

NG HOST VIP provides only the virtualization and hosting infrastructure. Clients are fully and solely responsible for obtaining and maintaining valid licenses for any operating system or software installed on their services. NG HOST VIP does not provide activation keys or licenses for any Microsoft or third-party software products. Use of unlicensed or pirated software on NG HOST VIP infrastructure is strictly prohibited and may result in immediate service termination.

11. Indemnification

You agree to defend, indemnify, and hold harmless NG HOST VIP, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of our services in violation of these Terms.
• Any content you host, transmit, or store using our infrastructure.
• Your violation of any third-party rights, including intellectual property rights.
• Any injury or damage caused by products or services distributed through our network by you.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

• NG HOST VIP's total liability to you for any claim shall not exceed the amount you paid for the affected service during the one month preceding the claim.
• NG HOST VIP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill.
• NG HOST VIP shall not be responsible for any data loss resulting from service interruptions, terminations, or suspensions.

13. Service Termination & Data Retrieval

NG HOST VIP reserves the right to suspend or terminate any service or account at any time, with or without notice, for violations of these Terms, the Acceptable Use Policy, non-payment, fraudulent activity, or any other reason at our sole discretion.

Upon service termination:

• Clients are responsible for maintaining their own backups prior to termination.
• NG HOST VIP does not guarantee data availability after termination.
• Account data will be purged within 30 days of account deletion.
• No refunds will be issued for the remaining period of a terminated service due to policy violations.

14. Force Majeure

NG HOST VIP shall not be held liable for any failure or delay in the performance of its obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, government actions, power failures, internet infrastructure failures, pandemics, or actions of third-party service providers. In such events, NG HOST VIP will make commercially reasonable efforts to restore services as quickly as possible.

15. Governing Law & Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the competent courts of Egypt. Both parties agree to submit to the personal jurisdiction of such courts and waive any objection to venue.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and NG HOST VIP regarding the use of our services and supersede all prior agreements, representations, and understandings of any kind.

18. Amendments

NG HOST VIP reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of our services after any modification constitutes your acceptance of the new Terms.
